Adduhaa ERP — Terms and Conditions

Welcome to Adduhaa ERP (“Adduhaa ERP”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Adduhaa ERP platform, including its HRM, Accounting, CRM, Project Management, Ecommerce, POS, and other available modules and services.

By creating an account, subscribing to a plan, or using Adduhaa ERP, you agree to these Terms. If you do not agree with these Terms, you should not use the Service.

1. Definitions

• “Service” means the Adduhaa ERP software, website, application, modules, features, and related services.
• “Customer” / “You” means the individual or organization using Adduhaa ERP.
• “Account” means the account created to access the Service.
• “Subscription” means the selected Adduhaa ERP plan and its applicable features, limits, and billing period.
• “User” means an individual authorized by the Customer to access the Customer's account.
• “Customer Data” means information, records, files, transactions, employee information, customer information, products, orders, and other data entered or uploaded by the Customer.

2. Account Registration

To use Adduhaa ERP, you may be required to create an account and provide accurate and complete information.

You are responsible for:

• Providing correct account information.
• Maintaining the confidentiality of your login credentials.
• Restricting unauthorized access to your account.
• All activities performed through your account.
• Informing us if you believe your account has been accessed without authorization.

You must not share, sell, transfer, or misuse your account except as permitted under your subscription.

3. Subscription Plans

Adduhaa ERP may offer different subscription plans with different:

• Modules
• Features
• Number of users
• Customer/vendor limits
• Product/order limits
• Storage limits
• Trial periods
• Usage restrictions
• Prices

The features and limits available to you depend on your selected subscription plan.

We may introduce new plans, modify existing plans, or discontinue plans from time to time.

4. Module Availability

Adduhaa ERP may provide different modules, including but not limited to:

• HRM System
• Accounting System
• CRM System
• Project System
• Ecommerce System
• POS System
• Other modules or features introduced in the future.

A Customer may only access the modules and features included in their selected subscription.

For example, an Ecommerce-only subscription may provide access to Ecommerce features while excluding HRM, Accounting, CRM, or Project features.

5. Ecommerce Services

Where Ecommerce functionality is included in your subscription, available features may include:

• Product Management
• Product Order Management
• Landing Page Management
• Report Management
• Courier Management

Specific features and usage limits may vary depending on the selected plan.

6. Trial Period

Where a free trial is offered, the trial period will be specified at the time of subscription.

During the trial:

• Access may be limited to selected features or usage limits.
• We may modify or terminate a trial where reasonably necessary.
• Trial accounts may be suspended or deleted after the trial period if no paid subscription is activated.

Unless otherwise stated, a trial does not guarantee continued access after the trial expires.

7. Fees and Payments

Subscription fees are payable according to the selected billing period and applicable pricing.

The Customer is responsible for:

• Paying subscription fees on time.
• Providing accurate billing information.
• Any applicable taxes, fees, or payment-processing charges.

If payment is unsuccessful or overdue, Adduhaa ERP may restrict, suspend, or terminate access to the Service after reasonable notice, where applicable.

8. Cancellation

The Customer may cancel their subscription according to the cancellation process provided within Adduhaa ERP.

Cancellation may take effect:

• Immediately; or
• At the end of the current billing period,

depending on the applicable subscription terms.

Cancellation does not automatically entitle the Customer to a refund for previously paid subscription fees unless otherwise stated.

9. Refund Policy

Subscription fees are generally non-refundable unless:

• Required by applicable law;
• A refund is expressly offered by Adduhaa ERP; or
• Adduhaa ERP determines that a refund is appropriate in a particular circumstance.

Any applicable refund terms may vary depending on the subscription and payment method.

10. Customer Data

The Customer retains ownership of Customer Data submitted to Adduhaa ERP.

You are responsible for ensuring that you have the necessary rights and permissions to collect, store, process, and use the data entered into the system.

You must not use Adduhaa ERP to store or process unlawful, fraudulent, or unauthorized information.

11. Data Security

We will take reasonable technical and organizational measures to protect Customer Data.

However, no online service can guarantee absolute security.

Customers are responsible for maintaining appropriate account security, including strong passwords and appropriate user permissions.

12. Data Backup

Customers should maintain appropriate backups of important business information.

Where Adduhaa ERP provides backup or recovery functionality, the scope and availability of such functionality may depend on the applicable subscription and system configuration.

We are not responsible for data loss resulting from circumstances beyond our reasonable control.

13. Acceptable Use

You agree not to:

• Use Adduhaa ERP for unlawful activities.
• Attempt to gain unauthorized access to the system.
• Interfere with the operation or security of the Service.
• Introduce malware, viruses, or other harmful code.
• Attempt to bypass subscription restrictions or usage limits.
• Copy, reproduce, resell, or redistribute the software without authorization.
• Reverse engineer or attempt to extract source code except where expressly permitted by applicable law.
• Use the Service to violate the rights of others.

14. User Permissions

The Customer is responsible for managing its users and assigning appropriate permissions.

The Customer should ensure that users only receive access to the modules and information required for their responsibilities.

The Customer is responsible for actions performed by its authorized users.

15. Third-Party Services

Adduhaa ERP may integrate with third-party services, including payment providers, courier services, communication platforms, email services, or other external systems.

Third-party services may have their own terms and privacy policies.

Adduhaa ERP is not responsible for the availability, performance, security, or policies of third-party services.

16. Software Updates

We may periodically update Adduhaa ERP to:

• Add new features.
• Improve performance.
• Fix bugs.
• Improve security.
• Modify existing functionality.
• Remove obsolete functionality.

Some updates may be applied automatically.

17. Service Availability

We aim to provide reliable and continuous access to Adduhaa ERP, but uninterrupted availability cannot be guaranteed.

The Service may occasionally become unavailable due to:

• Scheduled maintenance
• Emergency maintenance
• Technical failures
• Hosting or infrastructure issues
• Network problems
• Security incidents
• Events beyond our reasonable control

18. Intellectual Property

Adduhaa ERP and its underlying software, design, interface, trademarks, documentation, and related intellectual property are owned by or licensed to Adduhaa ERP and are protected by applicable intellectual property laws.

Your subscription gives you a limited right to use the Service. It does not transfer ownership of the software to you.

19. Customer Content

You retain ownership of content and business data that you submit to the Service.

You grant Adduhaa ERP the necessary rights to host, process, transmit, and display such content solely for providing and operating the Service.

20. Confidentiality

Both parties should take reasonable steps to protect confidential information received from the other party.

Confidential information should not be disclosed to unauthorized third parties except where required by law or necessary to provide the Service.

21. Suspension and Termination

We may suspend or terminate an account where reasonably necessary, including if:

• The Customer materially violates these Terms.
• Payment remains overdue.
• The account is used for illegal or abusive activities.
• The Customer attempts to compromise system security.
• Continued use presents a security or operational risk.

Where appropriate, we may provide notice and an opportunity to resolve the issue before termination.

22. Effect of Termination

After termination or expiration of a subscription, access to the Service may be disabled.

Subject to our applicable data-retention policy, Customer Data may be deleted after a reasonable period.

Customers should export or otherwise retain important business data before terminating their subscription.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Adduhaa ERP will not be liable for indirect, incidental, special, consequential, or business losses arising from the use or inability to use the Service.

Customers remain responsible for the accuracy of their accounting, employee, customer, inventory, sales, tax, and other business information entered into the system.

Adduhaa ERP is a software platform and should not be considered a substitute for professional accounting, legal, tax, HR, or business advice.

24. Changes to These Terms

We may update these Terms from time to time.

Updated Terms may be published within the Service or on our website. Continued use of Adduhaa ERP after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to applicable law.

25. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws of [Bangladesh / Insert Applicable Jurisdiction], without prejudice to any mandatory rights available to the Customer under applicable law.
